Hamachi AI, Inc. Terms of Service
Effective Date: February 17, 2026
These Terms of Service (“Terms”) govern your access to and use of AI-powered communication tools and related software and services provided by Hamachi AI, Inc. (“Hamachi,” “we,” or “us”) (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms.

Eligibility and User Types
The Services are intended for business and professional use by financial advisors, compliance professionals, wholesalers, asset managers, RIAs, and related support personnel (“Financial Professionals”). You represent that you are at least 18 years old and have authority to bind your organization to these Terms.

Accounts and Subscription Plans
Hamachi offers multiple subscription tiers including free, Pro, Enterprise, and Sponsor plans. Subscription terms and pricing may vary.

Automatic Renewal. Subscriptions renew automatically unless canceled before the renewal date.

Cancellation and Refunds. Monthly subscriptions may be canceled effective at the end of the current billing cycle. Annual subscriptions may be canceled for cause if Hamachi materially breaches these Terms, in which case a prorated refund may be provided.

Payment Processing. Fees are processed through a third-party payment processor. You must provide accurate and up-to-date billing information at all times. Hamachi reserves the right to suspend or limit access to the Services for failed or overdue payments. Customer is responsible for all applicable taxes, except taxes based on Hamachi’s net income.

Production Services. The Services are offered as a production commercial platform. Features may evolve over time, and Hamachi may add, modify, or discontinue features in its reasonable discretion, provided such changes do not materially reduce core functionality during an active subscription term.

Subscription Changes. Customers may upgrade subscription tiers at any time. Downgrades or reductions in seat count will take effect at the start of the next billing cycle unless otherwise specified in an applicable order form

Professional Responsibility and Compliance
The Services assist in drafting communications but do not provide legal, financial, investment, or compliance advice. You must review and approve all content before it is sent or relied upon. You are solely responsible for compliance with applicable laws, regulations, supervision requirements, and internal policies. Customer acknowledges that AI-generated outputs may be incomplete or inaccurate and should be independently verified before use. Hamachi does not supervise, monitor, or approve communications sent using the Services.
Customer acknowledges that AI-generated outputs are tools to assist user workflow and are not reviewed, approved, or supervised by Hamachi prior to delivery.

AI-Generated Content and Ownership
You retain ownership of your original content and communications. Hamachi retains ownership of the Services, including software, models, templates, and improvements derived from user interactions.
Hamachi does not claim ownership of emails or user-uploaded content and does not use such content for public model training. Hamachi may use aggregated, anonymized, and de-identified data to improve the Services.
Hamachi will not use identifiable customer content to train public or third-party AI models without Customer’s explicit authorization.
For Enterprise customers, private and custom bot configurations will not be used for model improvements without express authorization.

Data Privacy and Security
Hamachi uses commercially reasonable administrative, technical, and organizational measures to protect data processed through the Services. Users remain responsible for ensuring compliance with data protection and client confidentiality requirements. Hamachi’s Privacy Policy applies to all data processing.

Data Retention
Hamachi may retain account data for a commercially reasonable period following termination for legal, security, backup, or compliance purposes. Customer may request deletion of data subject to applicable legal obligations.

Sponsor Interactions and Disclosures
If you subscribe to or interact with sponsor-provided features, you authorize Hamachi to share limited personal information (such as name and business email) and aggregated engagement analytics with those sponsors. Sponsors are contractually restricted to those permitted purposes.

Acceptable Use and Restrictions
You agree not to:
- Conduct illegal, harmful, fraudulent, or misleading acts using the Services
- Misrepresent your professional credentials or authorship of communications
- Reverse engineer, extract, or attempt to access proprietary systems
- Interfere with system integrity, availability, or security
- Violate any third-party rights or applicable laws

Beta and Early Access Features
From time to time, Hamachi may offer certain features, integrations, or functionality as beta, preview, or early access offerings (“Beta Features”). Participation in any Beta Features may require acceptance of additional terms, which will supplement these Terms and govern solely during the applicable beta period. Unless otherwise stated, Beta Features are provided “as is” and may be modified or discontinued at any time.

Suspension and Termination
We may suspend or terminate access to the Services if fees are unpaid, if these Terms are violated, or if continued access poses legal or operational risks. Hamachi may suspend access immediately where necessary to protect system integrity, comply with law, or prevent security risks.
Upon termination, all rights to use the Services cease immediately, except for surviving rights expressly identified herein.

Disclaimers
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. Without limitation, Hamachi disclaims any warranty of:
- Accuracy or reliability
- Merchantability or fitness for a particular purpose
- Non-infringement
- Compliance outcomes
- Error-free or uninterrupted operation
- Any particular result or success
The Services are not intended to create or replace required regulatory books and records retention systems unless expressly stated in a separate agreement.
Your use of the Services is at your sole risk.

Limitation of Liability
To the maximum extent permitted by law:
- Hamachi is not liable for indirect, incidental, special, punitive, or consequential damages
- Hamachi’s total aggregate liability for any claims relating to the Services is limited to the amount paid by you to Hamachi for the Services in the 12 months preceding the claim
Some jurisdictions do not allow certain exclusions; terms apply to the fullest extent permitted.

Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including internet outages, infrastructure failures, natural disasters, or governmental actions.

Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The exclusive venue for any dispute arising from these Terms shall be the state or federal courts located in Delaware. You consent to such jurisdiction and venue.

Modifications to Terms
Hamachi may update these Terms from time to time. Notice may be provided by email or by posting revised Terms on the Services. Continued use after changes become effective constitutes acceptance of the revised Terms.

Order Forms
If Customer enters into a separate order form, statement of work, or enterprise agreement with Hamachi, the terms of that agreement control in the event of conflict with these Terms.

Survival
Sections relating to payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law survive termination.
